On Feb. 21, Tronox announced a definitive agreement to acquire Cristal’s titanium dioxide (TiO2) business, creating the world’s largest TiO2 pigment producer.

The combination of Tronox and Cristal comes at a point of inflection for the TiO2 industry. The transaction, expected to close before the first quarter of 2018, will significantly expand the benefits of our vertically integrated business model. We will operate 11 TiO2 pigment production facilities, with a total annual capacity of 1.3 million metric tons. We will have feedstock operations in Australia, Brazil and South Africa, with an annual capacity of 1.5 million metric tons. These facilities will produce sufficient feedstock products to meet roughly
85 percent of our combined internal needs. The blending of the two companies will also diversify and significantly expand our market reach and increase our participation in fast-growing developing economies around the globe.

Tronox has begun working with Cristal on an integration plan to ensure a smooth and seamless transition. The goal is to fully leverage the talent, operations and assets of the “New Tronox” once the transaction is complete.
